PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE SERVICES. BY CREATING AN ACCOUNT OR ACCESSING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
By registering for an account, accessing the platform at opticalpathengineering.com (the "Platform"), or using any feature of the Fiber Damage Locator or Facility Database System (collectively, the "Services"), you ("Customer" or "you") agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you lack such authority, do not use the Services.
2.1 License. Subject to your compliance with these Terms and timely payment of all applicable fees, Optical Path Engineering LLC ("Company," "we," or "us") grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your internal network engineering, fiber optic maintenance, and telecommunications operations.
2.2 Restrictions. This license does not include the right to:
3.1 Free Trial. New accounts receive a seven (7) day free trial with full access to the Services. No payment method is required to begin a free trial. The free trial is available once per organization or domain. Upon expiration of the trial period, access to paid features will be suspended unless a paid subscription is activated.
3.2 Single User Plan — $29.99/month (or $299/year billed annually). 1 user account. Fiber Damage Locator only — every method of use, including OTDR .sor fault location, manual route draw, GeoJSON export/import, Excel/CSV GPS splice case import, reverse-geocoded street address, PDF map export (fault + route), and the TIA-598-C fiber color chart. Does not include NOC/OSP/ISP portal access.
3.3 Small Team Plan — $250/month per pack of 10 accounts (or $2,499/year per pack billed annually), scaling up to a maximum of 80 accounts. Includes everything in the Single User plan. Additional accounts beyond the initial pack may be added at the same per-pack rate. Does not include the Facility Database System, ticket queue, or NOC/OSP/ISP portal access.
3.4 Facility Database System — Self-Serve — $5,000/year per site, including ten (10) user accounts, with additional accounts available at $200/year per account. No limit on facility size. Includes facility, rack, and device documentation; port-level circuit tracing; hub utilization auto-calculation (power, HVAC, generator, and DC-plant capacity); and MUX and preterm chassis documentation. Sold and billed separately from the Fiber Damage Locator plans described above.
3.5 Facility Database System — White Glove — custom pricing, quoted per site based on scope. Includes everything in the Self-Serve tier plus an on-site engagement in which Company personnel document the customer's facility (racks, patch panels, preterm connections, and OCEF cabinets, including the point at which each preterm connects to outside plant fiber) and deliver a completed, importable Facility Database System. For clarity, this on-site engagement does not include outside plant assets (including splice cases and other outside-plant infrastructure), which remain the customer's responsibility to document via its own geographic information system. This tier also includes eligibility for custom / on-premises deployment (per a separate Deployment Agreement), where offered. White Glove engagements are quoted and contracted individually.
3.6 Entire Tool Suite — custom pricing, quoted individually for customers who require both the Fiber Damage Locator and the Facility Database System. Contact sales@opticalpathengineering.com for a quote.
3.7 Price Changes. We reserve the right to change subscription pricing at any time. We will provide at least thirty (30) days' written notice to the email address on your account before any price change takes effect. Continued use of the Services after the effective date of a price change constitutes your acceptance of the new pricing.
3.8 Taxes. All listed fees are exclusive of applicable taxes. You are responsible for all sales, use, value-added, or similar taxes imposed by any governmental authority on your purchase of the Services.
4.1 Authorized Use. The Services are designed for use by licensed telecommunications engineers, ISP operations and maintenance personnel, and authorized network management staff, for the purpose of fiber optic network maintenance, fault analysis, and plant documentation on networks you own or are authorized to maintain.
4.2 Prohibited Uses. You shall not use the Services to:
5.1 Your Data. All fiber plant data, OTDR trace files, GPS coordinates, device names, circuit records, and other data you upload or enter into the Services ("Customer Data") remain your property. You represent and warrant that you have all rights necessary to upload and process your Customer Data through the Services.
5.2 License to Process. You grant the Company a limited, non-exclusive license to store, process, and use Customer Data solely as necessary to provide the Services to you. This license terminates upon deletion of your account and expiration of the applicable retention window described in the Privacy Policy.
5.3 No Sale; No Training. We will not sell, rent, or share Customer Data with third parties for their own purposes. Customer Data is never used to train machine learning models or to build profiles for advertising.
5.4 Security. We implement commercially reasonable technical and organizational security measures to protect Customer Data against unauthorized access, alteration, or destruction. See our Privacy Policy for details.
6.1 Free Trial. No uptime commitment is made for Free Trial accounts. The Services are provided "as is" during the trial period.
6.2 Paid Subscriptions. For paid subscriptions, we will use commercially reasonable efforts to maintain availability of the Services. Scheduled maintenance will be performed during off-peak hours where practicable, with advance notice provided when feasible.
6.3 No SLA. These Terms do not constitute a Service Level Agreement. No credits or refunds are issued for downtime or unavailability unless separately agreed in writing.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
THE FIBER DAMAGE LOCATOR IS A DECISION SUPPORT TOOL DESIGNED TO ASSIST QUALIFIED TELECOMMUNICATIONS PROFESSIONALS. FAULT LOCATION RESULTS ARE ESTIMATES BASED ON SUBMITTED TRACE DATA AND NETWORK GEOMETRY INPUTS. THE COMPANY DOES NOT WARRANT THAT ANY FAULT LOCATION RESULT IS ACCURATE OR COMPLETE. ALL RESULTS MUST BE VERIFIED BY A QUALIFIED ENGINEER OR TECHNICIAN BEFORE DISPATCHING REPAIR CREWS, MAKING CUSTOMER COMMITMENTS, OR TAKING ANY OPERATIONAL ACTION. THE COMPANY IS NOT A SUBSTITUTE FOR PROFESSIONAL ENGINEERING JUDGMENT.
8.1 Exclusion of Consequential Damages.
IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, COST OF SUBSTITUTE GOODS OR SERVICES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.2 Liability Cap.
THE COMPANY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES — REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY — SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
8.3 Essential Basis. The limitations in this Section 8 reflect a negotiated allocation of risk between the parties and are an essential element of the basis of the bargain between the parties. The Company would not have provided the Services on the terms set forth herein without these limitations.
9.1 Termination for Cause. Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure the breach within fifteen (15) days after receiving written notice describing the breach in reasonable detail.
9.2 Termination for Convenience. You may cancel a month-to-month Single User or Small Team subscription at any time through your account settings. Annual Single User or Small Team subscriptions, and Facility Database System, White Glove, or Entire Tool Suite engagements, may be cancelled with at least thirty (30) days' written notice before the next renewal date. No refunds are issued for unused subscription periods.
9.3 Effect of Termination. Upon termination or expiration, your license to access the Services immediately terminates. You should export any Customer Data you wish to retain prior to account deactivation. Following account closure, Customer Data is retained for ninety (90) days in accordance with our Privacy Policy, after which it is permanently deleted.
9.4 Survival. Sections 2.2, 5, 7, 8, 9.3, and 10 shall survive any termination or expiration of these Terms.
10.1 Governing Law; Disputes. These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflicts of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Cabarrus County, North Carolina, and the parties consent to personal jurisdiction therein.
10.2 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company with respect to the Services and supersede all prior agreements and understandings relating to the same subject matter.
10.3 Modifications. We reserve the right to modify these Terms at any time. We will provide at least fourteen (14) days' written notice of material changes to the email address on your account before the changes take effect. Continued use of the Services after the effective date constitutes your acceptance of the revised Terms.
10.4 Assignment. You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, with notice to you.
10.5 Waiver and Severability. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision. If any provision is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, and the remaining provisions shall remain in full force.
